This offering comprises commercial software products and services and related materials of CloudERP ("CloudERP Programs"). CloudERP Programs are provided under a paid subscription agreement and are licensed subject to these Terms of Use.

License
CloudERP grants customers a limited, non-exclusive, non-transferable right to access and use CloudERP License Trimmer for internal business purposes during the applicable subscription term.
Service Description
CloudERP License Trimmer helps organizations analyze Microsoft Dynamics 365 Finance & Operations licensing usage, identify optimization opportunities, improve licensing governance, and support cost management initiatives.
The service provides analysis, reporting, insights, and recommendations based on information available within the customer's Microsoft Dynamics 365 environment.
Customer Responsibilities
Customers are responsible for:
Maintaining valid Microsoft Dynamics 365 licenses.
Complying with applicable Microsoft licensing requirements and policies.
Ensuring the accuracy of data available within their Dynamics 365 environment.
Reviewing and validating recommendations generated by the service.
Making all final licensing, compliance, and business decisions.
Recommendations and Results
CloudERP License Trimmer is designed to support licensing optimization and governance activities. Recommendations, insights, and potential savings estimates are based on information available within the customer's environment at the time of analysis.
Actual licensing outcomes, compliance results, and savings may vary depending on customer-specific requirements, system configuration, user behavior, and Microsoft licensing policies.
Fees and Payment
CloudERP License Trimmer is a commercial software service provided under a paid subscription agreement. Customers are responsible for payment of all applicable subscription fees and charges agreed with CloudERP.
Failure to pay applicable fees may result in suspension or termination of access to the service.
Intellectual Property
All software, documentation, reports, methodologies, trademarks, and related intellectual property rights remain the exclusive property of CloudERP. No ownership rights are transferred to customers through use of the service.
Service Availability
CloudERP will use commercially reasonable efforts to maintain the availability and functionality of the service. Customers acknowledge that maintenance activities, updates, security measures, or circumstances beyond CloudERP's reasonable control may occasionally affect service availability.
Limitation of Liability
To the maximum extent permitted by applicable law, CloudERP's total liability arising from or related to the use of CloudERP License Trimmer shall not exceed the fees paid by the customer for the service during the twelve (12) months preceding the event giving rise to the claim.
CloudERP shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, revenue, business opportunities, or data.
Suspension and Termination
CloudERP may suspend or terminate access to the service in cases of misuse, security concerns, unauthorized use, non-payment, or material breach of these Terms of Use.
Upon termination, the customer's right to access and use the service shall immediately cease.
Governing Law
These Terms of Use are governed by and construed in accordance with the laws of Denmark.
Privacy
CloudERP is committed to protecting and respecting customer privacy. Personal information is used solely to administer customer accounts and provide requested products and services. CloudERP processes personal data in accordance with applicable data protection laws.
